 Terms and Conditions for Partnering with Drove Rides Technology LLC in Ghana

Effective Date: March 1, 2026

By applying to partner with Drove Rides Technology LLC (“Drove Rides”), the applicant (“Partner”) agrees to comply with the following Terms and Conditions for partnerships in Ghana. This agreement governs the relationship between Drove Rides and all individuals, businesses, or institutions seeking to partner with Drove Rides’ ride-hailing services.

  1. Acceptance of Terms

   By submitting a partnership application, the Partner agrees to be bound by these Terms and Conditions. Drove Rides reserves the right to update or modify these terms at any time, and it is the Partner’s responsibility to review any changes communicated through email or published on the official website.

  1. Eligibility Criteria

   – The Partner must be a legally registered business entity, institution, or individual authorized to operate in Ghana.

   – The Partner must provide accurate and up-to-date information during the application process and ensure that all submitted information remains current.

   – Drove Rides reserves the right to verify the legal status of the Partner and reject or terminate partnerships that fail to meet eligibility standards.

  1. Scope of Partnership

   – Types of Partnerships: Drove Rides offers opportunities for fleet operators, marketing partners, technology solution providers, delivery services, and institutional partnerships, among others.

   – The scope and nature of the partnership will be agreed upon separately and defined in a partnership agreement.

   – Drove Rides retains the right to define or limit the extent of any partnership based on business needs.

  1. Partner Responsibilities

   – Partners must deliver services and fulfill obligations as outlined in the partnership agreement or as mutually agreed upon by both parties.

   – The Partner must uphold Drove Rides’ reputation by maintaining high standards of professionalism, transparency, and ethical business practices.

   – Partners are required to comply with all applicable laws, regulations, and licensing requirements in Ghana.

   – Partners may not use Drove Rides’ brand, trademarks, or materials without prior written consent.

  1. Confidentiality

   – Partners agree to maintain confidentiality regarding all proprietary or sensitive information obtained through the partnership with Drove Rides.

   – Such information cannot be disclosed or used for purposes other than those agreed upon without prior written consent from Drove Rides.

   – Confidentiality obligations will continue even after the termination of the partnership.

  1. Intellectual Property

   – Drove Rides’ trademarks, logos, and intellectual property remain the exclusive property of Drove Rides and may only be used as per the terms of this agreement or any specific licensing agreement.

   – Any intellectual property developed jointly during the partnership will be governed by separate agreements.

  1. Payment and Compensation

   – The specific terms of payment, compensation, or commission for services will be defined in the partnership agreement.

   – The Partner is responsible for all taxes and legal obligations relating to their income or revenue from the partnership.

   – Drove Rides reserves the right to withhold payment in cases of breach of contract, non-performance, or failure to meet agreed-upon standards.

  1. Insurance and Liability

   – Partners, especially fleet or delivery partners, are required to carry adequate insurance to cover any liabilities arising from their operations.

   – Drove Rides is not liable for any losses, damages, or accidents occurring as a result of the Partner’s activities, except where Drove Rides is found to be grossly negligent.

   – Partners agree to indemnify and hold Drove Rides harmless from any claims, liabilities, or damages caused by the Partner’s services or activities.

  1. Termination of Partnership

   – Either party may terminate the partnership agreement with 30 days’ written notice.

   – Drove Rides reserves the right to terminate the partnership immediately if there is a breach of contract, misconduct, or activities that damage Drove Rides’ reputation or interests.

   – Upon termination, the Partner must cease using Drove Rides’ intellectual property and return any materials provided.

  1. Dispute Resolution

   – Any disputes arising from this agreement will first be addressed through mutual negotiation.

   – If no resolution is reached, disputes will be settled by binding arbitration in accordance with Ghanaian law.

  1. Governing Law

   These Terms and Conditions are governed by the laws of the Republic of Ghana. Any legal proceedings relating to the partnership will be conducted in Ghanaian courts.

  1. Acknowledgment and Agreement

   By submitting the partnership application, the Partner acknowledges that they have read, understood, and agree to these Terms and Conditions. The Partner also agrees to adhere to any additional terms specified in individual partnership agreements.
